STANDARD TERMS AND CONDITIONS OF SALE

1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
2. Our invoices are payable within payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Zo Creative and Zo Promos reserves the right to request a fixed interest payment amounting to 2% of the sum remaining due. Zo Creative and Zo Promos will be authorized to suspend any provision of services without prior warning in the event of late payment.
3. If a payment is still outstanding more than sixty (60) days after the due payment date, Zo Creative and Zo Promos reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Zo Creative and Zo Promos become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Zo Creative and Zo Promos in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
5. Zo Creative and Zo Promos undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Zo Creative and Zo Promos cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
6. In order for it to be admissible, Zo Creative and Zo Promos must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
7. All our contractual relations will be governed exclusively by United States law.
8. Artwork Disclaimer – Client-Supplied Files Please note that when artwork is provided by the client, we print the files as received. Our team performs a basic review to flag any obvious issues, but we do not make detailed adjustments or corrections unless previously agreed upon. Because client-supplied files may not meet our production specifications (including proper resolution, color mode, bleed, margins, and file format), we cannot guarantee the final printed product will reflect the highest quality standards. This includes, but is not limited to:
   Blurry or pixelated images
   Incorrect sizing
   Unexpected color shifts
   Design elements being cut off
   Insufficient bleed, which may result in unprinted edges or visible white borders
   What is “bleed”?
   Bleed refers to the extra space around the edges of your artwork that gets trimmed off after printing. Any background colors, photos, or design elements that touch the edge of the page must extend at least 1/8 inch (0.125") beyond the trim line on all sides. To confirm that bleed has been properly included, please also add crop marks to your file. Crop marks show where the paper should be trimmed and help us visually confirm that your bleed is present and correctly positioned.
9. Proof Approval Policy-Please review your proof carefully before approving. No job will move into production without final artwork approval. Do not click “Approve” until you are certain the artwork is final and ready for production. If you need any changes, please notify us before approving. A new, revised proof will be provided for your approval. Once artwork is approved, no further edits or revisions can be made. Production will begin immediately based on the approved proof. Your approval confirms that all text, logos, colors, and layouts are correct.
